PLEASE READ THESE TERMS CAREFULLY. THESE TERMS GOVERN YOUR USE OF THE SERVICE AND APPLY TO ALL VISITORS, USERS, AND CUSTOMERS. 1. Introduction

Welcome to JAVASCAPE AI (“JAVASCAPE AI,” “Company,” “we,” “us,” “our”). These Terms of Service and Terms and Conditions (the “Terms”) govern your access to and use of www.javascapeai.com and any subdomains, pages, storefronts, checkout pages, accounts, community areas, content, and related services offered by us (collectively, the “Service”).

These Terms form a legally binding agreement between you and the Company.

  • “Outputs” means any results generated, suggested, produced, or returned by AI or automation features through the Service based on User Content or other inputs.
  • “Digital Products” means downloadable or access-controlled digital items sold or provided through the Service (including AI assistants, prompt packs, and similar items).
  • “Order” means any purchase, subscription, or transaction through the Service.

3. Eligibility, Jurisdiction, and Account Authority

3.1 Age and Legal Capacity

You must be at least 18 years old (or the age of majority where you live) and capable of forming a binding contract to use the Service.

3.2 Using the Service for an Entity

If you use the Service on behalf of a company or other entity, you represent you have authority to bind that entity. References to “you” include the entity.

3.3 Geographic Availability

The Service may not be lawful or available in all jurisdictions. You are responsible for ensuring your use is lawful where you are located.

4. Account Registration, Security, and Responsibility

4.1 Account Creation

Some features may require an account. You agree to provide accurate, current, and complete information and to keep it updated.

4.2 Account Ownership and Control

4.3 Security

You are responsible for safeguarding credentials and for all activity that occurs under your account. Notify us promptly of any suspected unauthorised access.

5. Orders, Pricing, Digital Delivery, and Payments

By placing an Order, you authorise us (or our payment processor) to charge your payment method for the total amount, including applicable taxes, fees, and currency conversion charges.

5.2 Digital Delivery

5.3 Pricing and Changes

Prices and availability may change at any time. We may correct pricing errors, cancel Orders affected by errors, and issue refunds where appropriate.

5.4 Payment Processors

Payments may be handled by third parties. We do not control and are not responsible for the acts or omissions of payment processors.

5.5 Chargebacks and Payment Disputes

If you initiate a chargeback or payment dispute without first contacting us for resolution, we may suspend your access, revoke licenses, and pursue collection to the extent permitted by law.

6. Refunds and Cancellation Policy

6.1 General Rule

All sales are final and non-refundable except where required by applicable law or expressly stated otherwise in writing at checkout.

6.2 Limited Refund Exceptions

We may consider refunds (or replacement delivery) only where:

  • a technical failure prevented delivery/access and we cannot remediate within a reasonable period; or
  • you were charged due to a billing error attributable to us or the processor.
6.3 No Refunds for Subjective Dissatisfaction

Because AI and digital products can be inherently variable, we do not provide refunds for dissatisfaction with style, usefulness, or outcomes of Outputs, or for failure to use the purchased item.

7. AI-Specific Disclaimers and No Professional Advice

7.1 AI Output Limitations

AI and automation features may produce Outputs that are incomplete, inaccurate, offensive, non-compliant, or not fit for your intended purpose. Outputs may also be similar or identical to outputs provided to other users.

7.2 No Professional Advice

Outputs are provided for general informational purposes only and do not constitute legal, medical, financial, investment, or other professional advice. You are solely responsible for verifying Outputs before relying on them.

7.3 High-Risk Uses Prohibited

You may not use the Service or Outputs for high-risk decisions where failure could cause harm (e.g., medical diagnosis, emergency response, critical infrastructure control), unless you independently validate and assume all risk.

8. Acceptable Use and Prohibited Conduct

You agree not to (and not to permit any third party to):

  • Break the law or encourage unlawful acts;
  • Attempt unauthorised access, probe, scan, or test vulnerabilities, or intercept data or services, including conduct consistent with Cayman cyber offences such as unauthorised access/interception/impairment. OfReg

  • Scrape, crawl, or use automated extraction except for standard browser use or where we explicitly allow it;
  • Reverse engineer, decompile, disassemble, or attempt to discover source code, models, workflows, or system prompts except to the extent a restriction is prohibited by law;
  • Use Outputs or the Service to develop competing products, including to train, fine-tune, or improve AI/ML systems using the Service, Company Materials, or Outputs (a key protection used in robust AI terms).
  • Infringe intellectual property or violate privacy/publicity rights;
  • Misuse AI-generated content to harass, defame, incite violence, spread malicious misinformation, or harm others.

We may investigate violations and cooperate with law enforcement where required or appropriate.

9. Monitoring, Moderation, and Enforcement

We may (but are not obligated to) monitor, review, remove, restrict, or disable access to Content, User Content, or Outputs to:

  • enforce these Terms;
  • protect the Service and users; and/or
  • comply with legal obligations.

10. Intellectual Property, Ownership, and Licenses

10.1 Ownership of Company Materials

The Service and all Company Materials are owned by JAVASCAPE AI and/or its licensors and are protected by applicable intellectual property laws, including Cayman Islands copyright frameworks and related protections. Legislation.gov.uk+1

10.2 License to You

Subject to your compliance, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service and Digital Products for your personal or internal business purposes, unless the Order states otherwise.

10.3 Restrictions

You may not copy, sell, resell, distribute, publicly display, sublicense, or create derivative works from Company Materials except as expressly permitted in writing.

10.4 Trademarks

All Company names, logos, product names, and brand features are protected. No trademark rights are granted to you. Cayman Islands trademark rights are governed under Cayman trademark legislation principles.

10.5 Patents and Design Rights

To the extent applicable, inventions and designs may be protected under Cayman patent and design-rights frameworks. You receive no rights except as expressly granted.

11. User Content, Inputs, and Outputs

11.1 Responsibility for User Content

You represent and warrant that you have all rights needed to provide User Content and that providing it does not violate law, contracts, confidentiality obligations, or third-party rights.

11.2 License You Grant to JAVASCAPE AI

You grant us a worldwide, royalty-free license to host, store, reproduce, transmit, display, and process User Content only as needed to operate, secure, maintain, and provide the Service, and to comply with law.

11.3 Outputs and Rights
  • Company ownership protection: We retain all rights in the Service, Company Materials, and underlying systems.
  • No exclusivity: Outputs may not be unique, and other users may receive similar results.
  • Your permitted use: We grant you a limited license to use Outputs you receive for lawful purposes, subject to these Terms and any product-specific restrictions.
  • No transfer of Company IP: Nothing here transfers to you any ownership in prompts, templates, system design, or other Company Materials embedded in how Outputs are produced.
11.4 Feedback

If you submit ideas or suggestions, you agree we may use them without obligation or compensation.

12. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy and Cookies Policy (incorporated by reference).

14. Disclaimers

To the maximum extent permitted by law, the Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

15. Limitation of Liability

To the maximum extent permitted by law:

  • We will not be liable for indirect, incidental, special, consequential, or punitive damages, loss of profits, lost revenue, loss of data, business interruption, or reputational harm.
  • Our total liability for any claim relating to the Service will not exceed the amount you paid to us for the Order giving rise to the claim in the 12 months preceding the event (or, if no payment was made, a nominal cap of US$100), whichever is greater—except where liability cannot be limited by law.

16. Indemnification

You agree to indemnify and hold harmless JAVASCAPE AI from claims arising out of:

  • your use of the Service or Outputs;
  • your User Content;
  • your violation of these Terms; or
  • your violation of any law or third-party rights,
    including reasonable legal fees and costs.

17. Termination

We may suspend or terminate access immediately if we believe you violated these Terms, created risk, or engaged in misuse. Upon termination, all licenses granted to you end, and you must stop using the Service and Company Materials. Sections that by nature should survive will survive.

18. Dispute Resolution, Arbitration, and Governing Law

18.1 Governing Law

These Terms are governed by the laws of the Cayman Islands, without regard to conflict-of-law rules.

18.2 Informal Resolution First

Before filing a claim, you agree to contact us and attempt good-faith informal resolution.

18.3 Arbitration (Optional Default)

Except for claims seeking injunctive relief for IP misuse or unauthorised access, disputes may be resolved by arbitration seated in the Cayman Islands and administered under CI-MAC rules (or another agreed forum). 18.4 Court Proceedings

Where arbitration is not required or is not available, you agree that courts of competent jurisdiction in the Cayman Islands (including the Grand Court) will have exclusive venue.

18.5 No Class Actions

To the extent permitted by law, disputes must be brought on an individual basis and not as a class, collective, or representative action.

18.6 Time Limit to Bring Claims

Any claim must be filed within 12 months after the event giving rise to the claim, unless applicable law requires a longer period.

19. Electronic Contracting and Communications

20. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes take effect immediately upon posting on the Website. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

21. Miscellaneous

  • Assignment: You may not assign these Terms without our consent; we may assign freely.
  • Severability: If any provision is unenforceable, the rest remains effective.
  • Force Majeure: We are not liable for events beyond reasonable control (including outages, model/provider failures, cyberattacks, or network disruptions).
  • Entire Agreement: These Terms (plus referenced policies) are the entire agreement about the Service.
  • Language: English controls.

Provide a designated legal/contact email and physical address for notices (including IP infringement notices), and keep it current on the Service.
